Incorporation of Companies Now Centralised

Incorporation of companies used to take a lot of time, commencing from seeking name availability and a number of visits to the office of the Registrar of Companies (RoC). Such requirement has now become a thing of the past, indeed!

The Ministry of Corporate Affairs has introduced a revolutionary mechanism by establishing a Central Registration Centre (CRC) for incorporation of companies under Companies Act, 2013. The CRC is located at Indian Institute of Corporate Affairs (IICA) at Manesar, Gurgaon – 122 050, Haryana. Until a separate Registrar is appointed for CRC, the RoC, Delhi will function as its Registrar, CRC. 

CRC will have jurisdiction all over India as regards incorporation of companies and processing of all documents thereto. The respective jurisdictional RoC will come into picture only post incorporation with respect to administration of those provisions of the Companies Act, 2013 and Rules made there under.

While the amendment that came into force from 26th January 2016 had centralized the procedures relating to reservation of name for a company to be incorporated, the amendment that came into force on 28th March 2016, has centralised the processing of all e-forms for incorporation of
companies. This included the processing of e-form 29 [a fast track mode] which enables obtaining Director Identification Number (DIN), name approval and ending with registration.

Thus incorporation under normal mode, in e-forms INC-1, INC-7, DIR-12 and INC-22 as well as incorporating under fast track mode will happen through CRC.

Further, incorporation of a company under Chapter XXI (i.e., registration of partnership firm, society, cooperative society, limited liability partnership etc) through e-form URC-1 will also be processed by CRC.
